These Terms of Service (“Terms”) govern your use of Reputae and the website at centralsolutions.in, both operated by Central Solutions, a sole proprietorship registered in India (Udyam) and based in Mumbai, India (“Central Solutions”, “we”, “us”).
By creating an account, accessing, or using Reputae, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you have authority to bind that business, and “you” means that business.
Where Central Solutions has signed a separate written agreement with a customer, that agreement takes precedence over these Terms to the extent of any conflict.
1. The service
Reputae is a subscription software platform for multi-outlet restaurant and hospitality groups. It provides review monitoring and management across connected platforms, digital opening and closing checklists with compliance tracking, a daily operational brief, per-outlet scheduling and closure calendars, and role-based access for head office, general managers, and outlet staff.
We may change, add, or remove features over time. We will not materially reduce the core functionality a paying customer is using during a paid term without notice.
2. Accounts
You are responsible for the accuracy of the information you give us, for keeping account credentials confidential, and for all activity under your accounts. You must tell us promptly at ansh@centralsolutions.in if you believe an account has been compromised. You are responsible for the conduct of the users you invite, and for removing users who should no longer have access.
3. Connected third-party platforms
Reputae can connect to third-party platforms such as Google Business Profile and Zomato. To do so you must hold the necessary rights to the listings you connect and must authorise the connection through that platform’s own process. Your use of those platforms remains governed by their terms, and we are not responsible for their availability, accuracy, or changes to their APIs. You may disconnect a platform at any time. How we handle data from those platforms, including Google user data, is described in our Privacy Policy.
4. Acceptable use
You agree not to:
- Use Reputae for any unlawful purpose, or in breach of the terms of any connected platform.
- Post fake, deceptive, or incentivised reviews, manipulate review ratings, or use Reputae to solicit reviews in a manner prohibited by the relevant platform.
- Connect a business listing you do not own or are not authorised to manage.
- Upload content that is unlawful, defamatory, obscene, infringing, or that contains malicious code.
- Attempt to gain unauthorised access to the service, other customers’ data, or our infrastructure; probe or test our systems without written permission; or interfere with the service’s operation.
- Reverse engineer, decompile, resell, sublicense, or provide the service to a third party except as expressly permitted.
- Use automated means to extract data from the service beyond the features we provide.
We may suspend access without prior notice if we reasonably believe conduct threatens the security or integrity of the service, breaches this section, or exposes us to legal liability. We will tell you why and, where we can, give you an opportunity to remedy it.
5. Your data and content
You retain all rights in the data and content you or your users put into Reputae, and in the data drawn from platforms you connect. You grant us a limited licence to host, process, and display that data solely to provide the service to you, and to the extent needed to support, secure, and maintain it. We handle it as described in our Privacy Policy.
You are responsible for having the right to provide the data you upload, and for your compliance with applicable data protection law in respect of your own staff and customers.
6. Our intellectual property
Reputae, the Central Solutions name, and all software, designs, and documentation we provide remain our property. These Terms grant you a non-exclusive, non-transferable right to use the service during your subscription, and nothing more.
7. Fees
Fees, billing frequency, and payment terms are as set out in your order or written agreement with us. Unless that agreement says otherwise, fees are exclusive of applicable taxes, which you are responsible for. We may suspend the service for non-payment after giving you written notice and a reasonable opportunity to pay.
8. Availability and support
We aim to keep Reputae available and to resolve faults promptly, but unless we have separately agreed a service level in writing, the service is provided without a guaranteed uptime commitment. We may carry out maintenance, and will give reasonable notice for planned maintenance that we expect to cause material disruption.
9. Disclaimers
To the fullest extent permitted by law, the service is provided “as is” and “as available”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that data drawn from third-party platforms will be complete, current, or accurate.
The daily operational brief and any insights or recommendations Reputae produces are informational aids for management. They are not professional, legal, food-safety, or regulatory advice, and you remain responsible for your own operational and compliance decisions.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business, or data, however caused.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the service or these Terms will not exceed the total fees you paid us in the twelve months immediately before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.
11. Indemnity
You will indemnify us against third-party claims arising from your unlawful use of the service, your breach of section 4, or your infringement of a third party’s rights through content you put into the service.
12. Term and termination
These Terms apply for as long as you use the service. You may terminate by ending your subscription in accordance with your order or agreement, or by written notice to ansh@centralsolutions.in. We may terminate for material breach that is not remedied within 30 days of written notice, or immediately where the breach cannot be remedied.
On termination your right to use the service ends. On written request made within 30 days of termination we will provide an export of your data in a commonly used format. After that, we delete data on the schedule set out in our Privacy Policy. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnity, and governing law — will survive.
13. Changes to these Terms
We may update these Terms. If a change is material we will give affected customers at least 30 days’ notice by email before it takes effect. Continued use after the effective date constitutes acceptance.
14. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and both parties submit to that jurisdiction.
15. General
If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to a successor of our business. These Terms, together with any written agreement between us and our Privacy Policy, are the entire agreement between the parties on this subject.
